THE OCTODISTRO DISTRIBUTION AGREEMENT

This Distribution Agreement (“Agreement”) is entered into between The Octodistro (“Octodistro”) and the user (“Artist”, “Label”, or “Rights Holder”).
1. Grant of Distribution Rights
The Artist grants Octodistro a non-exclusive license to:
- Deliver audio recordings and music videos to digital platforms
- Manage metadata associated with releases
- Collect royalties generated from distributed content
The Artist retains full ownership of their content.
2. Revenue Share
Octodistro operates under a revenue share model.
Standard Distribution Revenue
- Artists receive: 80% of all net royalties generated from digital platforms.
- Octodistro retains: 20% as the platform distribution fee.
Content ID Revenue
If the Artist opts into Content ID services, revenue generated from content identification systems will be split as follows:
- Artist receives: 75% of Content ID revenue
- Octodistro retains: 25% as Content ID management fee
Content ID includes revenue from: user generated content matches; monetized videos using your audio.
3. Payment Processing
Royalty payments will be made through the Octodistro dashboard once:
- Revenue is received from platforms
- Minimum payout thresholds are met
Payments may be subject to processing fees depending on the payment method.
4. Artist Responsibilities
The Artist guarantees that:
- They own or control all rights to the uploaded content
- The content does not infringe copyrights
- All contributors are properly credited
- Metadata is accurate
Artists are responsible for clearing any third-party rights.
5. Content Removal
- Artists may request removal of their content from stores.
- However, some platforms may require processing time before takedown is completed.
- Octodistro reserves the right to remove content that violates policies.
6. Fraud and Artificial Streaming
Any attempt to manipulate streaming activity through: bots; fake plays; paid streaming farms may result in: release removal; account suspension; withholding of royalties. See our Artificial Streaming & Fraud Policy for full details.
7. Termination
- This Agreement remains active as long as content remains distributed through Octodistro.
- Either party may terminate the agreement with written notice.
COPYRIGHT & DMCA TAKEDOWN POLICY
Octodistro respects intellectual property rights and complies with applicable copyright laws.
1. Reporting Copyright Infringement
If you believe content distributed through Octodistro infringes your copyright, you may submit a DMCA notice. Your notice must include: your name and contact information; description of the copyrighted work; URL or identification of the infringing material; a statement that you believe the use is unauthorized; a statement under penalty of perjury that your claim is accurate; your signature (electronic or physical).

2. Takedown Procedure
Upon receiving a valid DMCA notice, Octodistro may: remove the reported content; notify the uploader; suspend the account if necessary.
3. Counter-Notification
If you believe content was removed incorrectly, you may submit a counter-notification containing: your contact information; identification of the removed material; a statement under penalty of perjury that the removal was mistaken; consent to jurisdiction of relevant courts. Octodistro may restore content if a valid counter-notice is received and no legal action is filed.
4. Repeat Infringers
Accounts repeatedly uploading infringing content may be permanently terminated.
